Pursuant to special resolutions passed by the shareholders on March 26, 2026, Everybody Loves Languages Corp. (ELL) and ELL Ventures Ltd. (EV) completed amalgamation pursuant to the terms of a business combination agreement dated Dec. 24, 2025. The amalgamation has been completed on April 9, 2026.

Under the terms of the agreement, the shareholders of ELL, other than common shareholders with EV and any dissenting shareholders (as defined in the agreement and in ELL's information circular dated Jan. 27, 2026), received one Amalco redeemable preferred share (redeemable preferred share in the capital of the continuing corporation formed upon completion of the amalgamation) for each common share of ELL held by them, which preferred shares were redeemed immediately on closing of the amalgamation, for a redemption price of 8.5 cents per share in cash.

Effective at the close of business on Tuesday, April 14, 2026, the common shares of ELL will be delisted from the TSX Venture Exchange as a result of the amalgamation closing.
