The TSX Venture Exchange has consented to the amendment of the exercise price of the following warrants.

Private placement

Number of warrants:  10,796,054

Expiry date of warrants:  Feb. 13, 2028

Forced exercise provision:  If the closing price for the company's shares is $1.20 or greater for a period of 10 consecutive trading days, the exercise period of warrants will be reduced to 30 days.

Original exercise price of warrants:  $2.48 (U.S.)

New exercise price of warrants:  $1 (Canadian)

These warrants were issued pursuant to a private placement of $51-million (U.S.) principal amount of convertible debentures with 10,796,054 share purchase warrants attached, which was accepted for filing by the exchange effective April 24, 2023.
