The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Sept. 11, 2023.

Flow-through

Number of shares:  1,158,000 flow-through shares

Purchase price:  26 cents per flow-through share

Non-flow-through

Number of shares:  3,598,700 non-flow-through shares

Purchase price:  22 cents per non-flow-through share

Warrants:  1,799,350 share purchase warrants to purchase 1,799,350 shares

Warrant exercise price:  42 cents for a two-year period

Number of placees:  17 placees

Total existing insider involvement:  2,769,000 (five insiders)

Finder's fee:  $12,000 cash and 6,000 warrants

Finder's warrant terms:  Each warrant entitles the holder to purchase one common share at the price of 42 cents for period of two years from the date of issuance.

The company issued news releases on Sept. 27, 2023, and Oct. 26, 2023, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
