The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement.

Number of shares:  5.14 million federal flow-through common shares and 4,545,455 Quebec flow-through common shares

Purchase price:  15.5 cents per fed FT share and 16.5 cents per QC FT share

Number of placees:   three placees

Finder's fee:  $46,401, 331,435 shares

The company has confirmed the closing of the private placement in news release dated May 1, 2023.
