DRYDEN GOLD REPORTS CLOSING OF CENTERRA TOP-UP SHARES

Further to the investor rights agreement between Dryden Gold Corp. and Centerra Gold Inc. dated Dec. 17, 2024 (the Centerra IRA), the company has issued to Centerra an aggregate of 440,000 common shares at a price of 32 cents per share for aggregate consideration of $140,800, calculated using the five-day volume-weighted average price in accordance with the Centerra IRA. The company received notice of its intention to exercise its top-up right, to retain its 9.99-per-cent interest in the company, as it relates to certain share issuances completed by the company through March 31, 2026 (see press release dated April 8, 2026). The share issuances were related to option payments warrant and option exercises in Q1 2026. An amount equal to the gross proceeds from the share issuance will be used for general corporate purposes
