DR. PHONE FIX ANNOUNCES ISSUANCE OF OPTIONS TO ITS DIRECTORS

Dr. Phone Fix Canada Corp.'s board of directors has approved the granting of stock options, in lieu of cash compensation, under its stock option plan, to its directors, to acquire an aggregate of 3.72 million common shares of the corporation.

The options were issued as of Feb. 12, 2026, and are exercisable for a period of 10 years, at a price of 19 cents per common share. Twenty-five per cent of the options vested on the grant date and the remaining 75 per cent of the options will vest in three 25-per-cent increments, at the end of each of the three subsequent 90-day periods, following the grant date.

All options and the common shares underlying such options are subject to a hold period of four months and one day from the grant date.

Following the option grant, the corporation has a total of 8,992,o25 Options outstanding. The corporation's Stock option plan limits the total number of common shares underlying the aggregate outstanding options at any time to no more than 10 per cent of the common shares that are issued and outstanding at such time. As of the date of this news release, the total number of common shares underlying the aggregate outstanding options represents approximately 5 per cent of the issued and outstanding common shares.
