The Globe and Mail reports in its Monday, Dec. 8, edition that for the second consecutive year, Dye & Durham will have a completely revamped board following a governance deal between ex-chairman Tyler Proud and the company. The Globe's Sean Silcoff writes that announced Friday, this agreement is part of ongoing turmoil for the company. As a result, Anthony Kinnear, a director nominated by activist shareholder Engine Capital LP last December, will leave the seven-person board immediately. Edward Smith, former chief executive officer of SMTC, replaces Alan Hibben as chairman of D&D. Mr. Hibben, who joined just 15 days ago, will continue as a director. The remaining directors from last December's Engine-led change, Hans Gieskes and Tracey Keates, will complete their terms but will not seek re-election. Three other directors who joined last December -- Sid Singh, Arnaud Ajdler and Eric Shahinian -- stepped down two weeks ago when Mr. Hibben and CEO George Tsivin joined the board. Mr. Shahinian had been the nominee of Mr. Proud's holding company OneMove Capital under a shareholder rights agreement. The final director who joined last December, Ritu Khanna, left earlier this year.
