DISTRICT MINES ANNOUNCES BOARD CHANGES

District Mines Ltd.'s Jeremy Ross and Gokul Kannan have resigned as directors of the company, effective Jan. 19, 2026. The company thanks Mr. Ross and Mr. Kannan for their service and wishes them success in their future endeavours.

The company has appointed Dustin Kinch and David Bradley to the board of directors, effective Jan. 19, 2026.

Mr. Kinch is a professional engineer and is a director and founder of the SubTerra Group of Companies, and currently serves as the chief operating officer, a position he has held since February, 2024. Prior to that, from July, 2018, to February, 2024, he was the founder, president and chief executive officer of CBW Engineering, a SubTerra Engineering company.

Mr. Bradley is an entrepreneur with experience at the intersection of digital assets, infrastructure economics and power-intensive computing. He has been involved in evaluating and supporting businesses where access to reliable, cost-effective power is a central driver of commercial viability, including data-driven and compute-focused operations.
