The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Jan. 17, 2024.

Number of shares:  4.7 million common shares

Purchase price:  five cents per share

Warrants:  4.7 million warrants to purchase 4.7 million common shares

Warrant exercise price:  seven cents for a two-year period from the date of issuance

Number of placees:  six placees

Total existing insider involvement:  500,000 (one insider)

Finder's fee:  not applicable

The company issued news releases on Feb. 23, 2024, and on Feb. 29, 2024, confirming the closing of the private placement. Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
