The TSX Venture Exchange has accepted for filing the company's proposal to issue 10,645,000 shares at a deemed value of five cents to settle $532,250 interest due on outstanding convertible debentures.

Total non-arm's-length-party involvement:  $300,000, six million shares at five cents (one non-arm's-length party)

The company shall issue a news release when the shares are issued and the debt extinguished.
