The TSX Venture Exchange has accepted for filing the company's proposal to issue 3,198,150 shares to settle $223,870.61 of interest due on outstanding convertible debentures.

Total non-arm's-length party involvement:  $95,342.47, 1,362,035 shares at seven cents (one party)

The company shall issue a news release when the shares are issued and the debt extinguished.
