DISCOVERY-CORP ANNOUNCES TERMINATION OF PROPOSED ARRANGEMENT

The proposed reverse takeover of Discovery-Corp Enterprises Inc. by Scramble Resources Corp. has terminated. As previously announced, Discovery and Scramble entered into an arrangement agreement dated Oct. 13, 2022, with respect to the transaction. As described in the news release dated March 2, 2023, Discovery submitted a draft joint management information circular and related initial documentation to the TSX Venture Exchange for approval in connection with the transaction. The arrangement agreement was intended to constitute a reverse takeover of Discovery under the rules and policies of the TSX-V, and, as such, conditions of the transaction included TSX-V approval, shareholder approval and court approval. The TSX-V has not approved the transaction or given conditional approval, nor has the transaction received required Discovery shareholder or court approval.
