DUNDEE CORPORATION ANNOUNCES VOTING RESULTS FROM 2023 ANNUAL AND SPECIAL MEETING OF SHAREHOLDERS

Dundee Corp. has released the voting results from its annual and special meeting of shareholders which was held on Thursday, June 22, 2023. Shareholders voted in favour of all items of business before the meeting, as follows:

Appointment of auditor

PricewaterhouseCoopers LLP was appointed as auditor of the company and the directors of the company were authorized to fix the remuneration of the auditor. Details of the voting results are set out herein.

Election of directors

The shareholders elected each of the seven nominees listed in the company's management proxy circular. Details of the voting results are set out herein.

The shareholders approved by ordinary resolution all unallocated awards under the company's amended and restated share incentive plan and deferred share units under the company's amended and restated deferred share unit plan.
