Doubleview Capital Corp. / TheNewswire / November 28 2016 - " Doubleview" (TSX-V: DBV) announces it has closed the second tranche of its non-brokered private placement financing announced on October 26, 2016. Doubleview issued a total of 1,137,500 flow-through units ("FT Units") at a price of $0.08 per FT Unit for gross proceeds of $91,000 and 3,256,000 non-flow-through units ("NFT Units") at a price of $0.08 per NFT Unit for gross proceeds of $260,480. To date, Doubleview has closed a total of 6,132,875 NFT Units and 5,262,500 FT Units. As a result, Doubleview has increased its previously announced private placement financing to up to 15,625,000 NFT Units at $0.08 per NFT Unit for gross proceeds of $1,250,000 and 5,625,000 FT Units at $0.08 per FT Unit for gross proceeds of $450,000.

Each NFT Unit comprises one common share of Doubleview and one common share purchase warrant (a "NFT Warrant"), with each NFT Warrant entitling the holder to purchase one additional common share at $0.15 per share for a period of two years from the date of issue. Each FT Unit comprises one flow-through common share of Doubleview and one-half of one common share purchase warrant (each whole warrant a "FT Warrant"), with each whole FT Warrant entitling the holder to purchase one additional common share at $0.15 per share for a period of two years from the date of issue.

Mr. Shirvani, Chief Executive Officer, President and a director of Doubleview, subscribed for 62,500 FT Units under the private placement financing. As a result, the issuance of FT Units to Mr. Shirvani is considered to be a related party transaction subject to TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101. Doubleview is relying on exemptions from the formal valuation and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(a) of Multilateral Instrument 61-101 on the basis that participation in the private placement by insiders will not exceed 25% of the fair market value of Doubleview's market capitalization.

In connection with the proceeds raised under the first tranche, Doubleview paid a finder a cash commission of $15,680 and 196,000 share purchase warrants. The finder's warrants are on the same terms as the NFT Units.

The securities issued under the financing will be subject to a hold period expiring on March 26, 2017 pursuant to applicable Canadian securities laws and the rules of the TSX Venture Exchange .

Doubleview will use the proceeds from the flow-through offering for its exploration program on the Hat Copper-Gold Porphyry Project and non-flow-through offering for general working capital purposes.
