The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Feb. 1, 2024.

Number of shares:  15,993,142 common shares

Purchase price:  seven cents per share

Warrants:  15,993,142 common share purchase warrants to purchase 15,993,142 shares

Warrant exercise price:  eight cents for a three-year period from the date of issuance

Number of placees:  nine placees

Total existing insider involvement:  1,428,571 (one insider)

Warrants terms:  Each warrant entitles the holder to purchase one common share at the price of eight cents for period of three years from the date of issuance.

Pursuant to corporate finance Policy 4.1, Section 1.9(e), the company issued a news release on March 27, 2024, announcing the closing of the private placement and setting out the expiry dates of the hold period.

Note that in certain circumstances the exchange may later extend the expiry date of the warrants, if they are less than the maximum permitted term.
