DARELLE ANNOUNCES NON-BROKERED PRIVATE PLACEMENT, AND FINDER'S
FEE AGREEMENT
Darelle Online Solutions Inc. has submitted the required
filings to the TSX Venture Exchange seeking approval for the
following transactions in accordance with exchange policies.
The full text of the company's unaudited condensed interim consolidated financial
statements and related management discussion and analysis for the period are
available on SEDAR+.
Private placement
The company intends to complete a non-brokered private placement of up to 1,546,333
common shares at a price of 75 cents per share, for gross proceeds of up to $1,159,750.
The offering is subject to acceptance by the TSX Venture Exchange.
Finders' fees
In connection with the offering, the company has agreed to pay eligible finders a cash
commission of up to 7 per cent of the gross proceeds raised from subscribers introduced by
such finders, subject to approval of the TSX-V.
The net proceeds of the offering are intended to be used for continued development
and enhancement of the company's on-line raffle and fundraising platform, including
additional fundraising formats and functionality, and for general working capital and
corporate purposes.
Completion of the private placement remains subject to the approval of the TSX-V. All securities issued pursuant to the offering will be subject to a hold
period of four months and one day from the date of issuance in accordance with
applicable securities laws and TSX-V policies.
