DARELLE ANNOUNCES RESULTS OF ANNUAL GENERAL AND SPECIAL MEETING AND BOARD APPOINTMENTS

Vancouver, B.C. January 7, 2026 Darelle Online Solutions Inc. ("darelle" and/or the "Company") (TSXV: "DAR") announces the voting results from its annual general and special meeting of shareholders (the "Meeting") held on January 5, 2026.

A total of 3,165,796 common shares, representing approximately 40.37% of the Company's issued and outstanding common shares, were represented at the Meeting in person or by proxy.

Election of Directors

At the Meeting, shareholders fixed the number of directors at five and elected the following nominees to the Company's board of directors to hold office until the next annual meeting of shareholders or until their successors are elected or appointed:

Dean Bethune Alex Chieng Gabriel Kabazo John Newman Scott Hamilton

Each nominee was elected by a substantial majority of the votes cast.

Officer Appointment

Effective January 6, 2026, Gabriel Kabazo was appointed Chief Financial Officer of the Company, replacing Scott Hamilton, who has served as Chief Financial Officer since June 23, 2013. Mr. Hamilton will continue to serve as a director of the Company and as a member of the Company's Audit Committee.

Director Biographies

Gabriel Kabazo is an experienced finance and operations professional with over 25 years of experience supporting accounting, financing, and IT operations in complex corporate environments. Mr. Kabazo currently serves as Chief Financial Officer or Chief Executive Officer of several public companies listed on the TSX Venture Exchange, Canadian Securities Exchange, and U.S. markets, and brings extensive expertise in public company reporting, financings, and corporate governance. Alex Chieng is an entrepreneur in the pet health ecosystem with nearly a decade of experience building technology and services for veterinary care. He is the Co-Founder and Chief Executive Officer of Pawsible Ventures, Canada's first dedicated pet health venture fund, studio, and incubator, and previously co-founded Vetsie, a veterinary telehealth and AI platform. Mr. Chieng brings experience in scaling technology platforms, strategic partnerships, and innovation in regulated environments.

Other Matters

Shareholders also:

appointed Dale Matheson Carr-Hilton LaBonte LLP as auditor of the Company for the ensuing year and authorized the directors to fix the auditor's remuneration;

approved a special resolution authorizing the board of directors, at its discretion, to effect a consolidation or subdivision of the Company's common shares on a basis of between two (2) and five (5) post-split common shares for each one (1) pre-split common share, subject to applicable regulatory approvals; and

approved an ordinary resolution adopting a new 10% rolling omnibus equity incentive plan, which will replace the Company's existing incentive stock option plan.
