DARELLE ANNOUNCES RESULTS OF ANNUAL GENERAL AND SPECIAL
MEETING AND BOARD APPOINTMENTS
Darelle Online Solutions Inc. has released the voting results from its annual general
and special meeting of shareholders held on Jan. 5, 2026.
A total of 3,165,796 common shares, representing approximately 40.37 per cent of the
company's issued and outstanding common shares, were represented at the meeting in
person or by proxy.
Election of directors
At the meeting, shareholders fixed the number of directors at five and elected the
following nominees to the company's board of directors to hold office until the next
annual meeting of shareholders or until their successors are elected or appointed:

Dean Bethune;

Alex Chieng;
-
Gabriel Kabazo;
-
John Newman;
-
Scott Hamilton.
Each nominee was elected by a substantial majority of the votes cast.
Officer appointment
Effective Jan. 6, 2026, Mr. Kabazo was appointed chief financial officer of the
company, replacing Mr. Hamilton, who has served as chief financial officer since
June 23, 2013. Mr. Hamilton will continue to serve as a director of the company and as
a member of the company's audit committee.
The company thanks Mr. Hamilton for his long-standing dedication and contributions to
the company.
Director biographies
Mr. Kabazo is an experienced finance and operations professional with over 25
years of experience supporting accounting, financing and IT (information technology) operations in complex
corporate environments. Mr. Kabazo currently serves as chief financial officer or chief
executive officer of several public companies listed on the TSX Venture Exchange,
the Canadian Securities Exchange and U.S. markets and brings extensive expertise in
public company reporting, financings and corporate governance.
Mr. Chieng is an entrepreneur in the pet health ecosystem with nearly a decade of
experience building technology and services for veterinary care. He is the co-founder
and chief executive officer of Pawsible Ventures, Canada's first dedicated pet health
venture fund, studio and incubator, and previously co-founded Vetsie, a veterinary
telehealth and AI (artificial intelligence) platform. Mr. Chieng brings experience in scaling technology
platforms, strategic partnerships and innovation in regulated environments.

Shareholders also:

Appointed Dale Matheson Carr-Hilton LaBonte LLP as auditor of the company for
the ensuing year and authorized the directors to fix the auditor's remuneration;

Approved a special resolution authorizing the board of directors, at its discretion, to
effect a consolidation or subdivision of the company's common shares on a basis of
between two and five postsplit common shares for each one presplit
common share, subject to applicable regulatory approvals;

Approved an ordinary resolution adopting a new 10-per-cent rolling omnibus equity
incentive plan, which will replace the company's existing incentive stock option plan.
