Number of securities:  three million common shares

Purchase price:  five cents per common share

Warrants:  three million common share purchase warrants to purchase three million shares

Warrants exercise price:  seven cents for three years following the closing of the private placement

Number of placees:  four placees

Aggregate existing insider involvement:  three insiders, 2.5 million

The company issued a news release on Feb. 22, 2024, confirming closing of the private placement.
