The TSX Venture Exchange has accepted for filing Cuspis Capital III Ltd.'s qualifying transaction described in its filing statement dated Jan. 30, 2024. As a result, at the opening on Friday, Feb. 9, 2024, the company will no longer be considered a capital pool company. The transaction includes that displayed herein.

The company acquired all of the issued and outstanding shares of Cytophage Technologies Inc. (the target) and issued 42,809,040 postconsolidation common shares in the capital of the company to the existing shareholders of the target (not including the common shares issued in the financings). Convertible securities of the target were exchanged for economically equivalent securities of the company.
