CYBEATS ANNOUNCES NON-BROKERED PRIVATE PLACEMENT

Cybeats Technologies Corp. has arranged a non-brokered private placement offering of up to 8,823,530 common shares of the company at a price of 17 cents per common share for aggregate proceeds of up to $1.5-million. The private placement is expected to close in the next 30 days.

All securities issued pursuant to the private placement, including any finder warrants and any common shares issuable upon exercise thereof, will be subject to a hold period of four months and one day from the date of closing in accordance with applicable securities laws and the policies of the Canadian Securities Exchange. The company intends to use the proceeds raised from the private placement for sales and marketing and general corporate purposes.

In connection with the private placement, the company may pay certain eligible finders a cash commission equal to 6 per cent of the gross proceeds raised from subscribers introduced by such finders. The company may also issue non-transferable finder warrants equal to 6 per cent of the number of common shares sold to subscribers introduced by such finders. Each finder warrant will entitle the holder to acquire one common share of the company at an exercise price of 17 cents per share for a period of one year from the closing date of the private placement.
