CYBEATS TECHNOLOGIES CORP. ANNOUNCES GRANT OF STOCK OPTIONS

Cybeats Technologies Corp. has granted 12.95 million stock options under the terms of the company's omnibus long-term incentive plan to various employees, directors, officers and consultants of the company. Each option is exercisable at a price of 16 cents for one common share of the company for a period of five years from the date of grant. The options and any common shares issued upon exercise of the options are subject to a four-month-and-one-day resale restriction from the date of grant under applicable securities laws and the policies of the Canadian Securities Exchange.

The company also announces that it has renewed its engagement with Sophic Capital Inc. as its investor relations partner under a new agreement dated Jan. 19, 2026. Sophic Capital is a comprehensive capital markets advisory firm specializing in small-cap growth companies.

Pursuant to the agreement between the company and Sophic Capital, Sophic will receive $8,000 per month for a term of 12 months. In addition, Cybeats has granted the firm options to purchase up to 1.25 million common shares at a price of 16 cents per share. The options vest quarterly in four equal tranches of 312,500 and expire on the earlier of: (i) 90 days after the termination of the engagement; or (ii) Jan. 16, 2031. The options are governed by the provisions of Cybeats's stock option plan and the policies of the Canadian Securities Exchange.

The grant of options to certain directors and officers is a related party transaction under Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions. The company relied on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of related party matters, as the company is listed on the Canadian Securities Exchange and neither the fair market value (as determined under MI 61-101) of the subject matter of, nor the fair market value of the consideration for, the transaction, insofar as it involves the related parties, exceeded 25 per cent of the company's market capitalization (as determined under MI 61-101).

Board of directors update

The company also announces that Medhanie Tekeste has resigned from the board of directors of Cybeats, effective Jan. 12, 2026. The company thanks Mr. Tekeste for his service and contributions.
