CVR MEDICAL CORP. ANNOUNCES CLOSING OF CAPITAL RAISE

CVR Medical Corp. has closed a first tranche of a non-brokered private placement, subject to final regulatory approval by the TSX Venture Exchange.

The closing consisted of 3.85 million units at a price of three cents per unit for gross proceeds of $115,500, as a result of the exchange's acceptance of the company's application for a discretionary waiver of the five-cent minimum pricing requirement. Pursuant to the offering, each unit consists of one common share of the company and one transferable common share purchase warrant exercisable to acquire an additional common share of the company for a term of five years from issuance at a price of 12 cents per share. the proceeds from the offering will be used for annual general meeting costs and related filings fees and expenses to maintain the company's filings and reporting obligations. The closing of the offering are necessary first steps in relaunching operations under new leadership, with the ultimate goal of commercializing the carotid stenotic scan device.

The common shares and warrants will be subject to a four-month hold period expiring April 24, 2022, under applicable securities laws in Canada and the rules of the exchange. The offering may be closed in additional tranches, now that conditional approval of the exchange has been received, subject to customary closing conditions, including the final approval of the exchange.
