The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced June 22, 2023.

Convertible debenture:  $650,000 principal amount

Conversion price:  convertible into up to 8,125,000 common shares at eight cents during the first year and at 10 cents purchase price thereafter until maturity

Maturity date:  two years from issuance

Interest rate:  10 per cent per annum

Warrants:  3.25 million share purchase warrants to purchase 3.25 million common shares

Warrant exercise price:  10 cents for a period of 24 months

Number of placees:   14 placees

Aggregate existing insider involvement:   two insiders, 2,625,000 shares

The company issued a news release on July 4, 2023, confirming closing of the private placement.
