The TSX Venture Exchange has accepted for filing the company's proposal to issue 675,324 shares at a deemed price of eight cents per share to settle outstanding debt for $54,025.92.

Number of creditors:  three creditors

Aggregate non-arm's-length party involvement:  one party, $9,149.28, eight cents a share, 114,366 shares

Aggregate pro group involvement:  one group, $35,901.36, eight cents a share, 448,767 shares

The company shall issue a news release when the shares are issued and the debt extinguished.
