Further to its news release of April 21, 2023, whereby the company closed a promissory note financing aggregating $1,203,000, Clean Seed Capital Group Ltd. intends to issue 375,565 common shares, at a deemed price of 12 cents per share, to settle accrued interest of $45,067.91, in accordance with TSX Venture Exchange policies. The issuance of the shares is subject to the acceptance of the TSX-V.

One noteholder, an insider of the company, will receive 83,785 shares to settle accrued interest. The company has relied on the exemptions from the valuation and minority shareholder approval requirements of Multilateral Instrument 61-101, Protection of Minority Security Holders in Special Transactions, under sections 5.5(b) and 5.7(1)(a) of MI 61-101 in respect of such related party transaction.

All shares issued will be subject to a regulatory hold period of four months and one day in accordance with the rules and policies of the TSX-V and applicable Canadian securities laws and such other further restrictions as may apply under foreign securities laws.
