COPPER STANDARD ANNOUNCES ADOPTION OF PERFORMANCE SHARE UNIT PLAN
Copper Standard Resources Inc. has approved the adoption of a 5-per-cent rolling performance share unit (PSU) plan. The PSU plan has received shareholder approval via written consent resolutions executed by shareholders of the company holding at least a majority of the common shares in the capital of Copper Standard pursuant to Section 4.6(1)(b) of Policy 4 of the Canadian Securities Exchange.
Pursuant to the PSU plan, and in accordance with the policies of the Canadian Securities Exchange, the board may award performance share units to eligible participants which, upon vesting, will be settled through the issuance of common shares, the payment of cash or a mix of a common share issuance and a cash payment, as determined by the board upon the grant of performance share units. The board will have discretion to impose vesting conditions on performance share units granted pursuant to the PSU plan, including conditions requiring the satisfaction of performance criteria established by the board based on corporate and/or personal performance by the holder. The PSU plan will supplement the company's existing option plan and restricted share unit plan.
