CHURCHILL RESOURCES ANNOUNCES COMPLETION OF $3,000,000 PRIVATE PLACEMENT
Further to the news release of Sept. 16, 2025, Churchill Resources Inc. has closed its previously announced non-brokered private placement, consisting of the sale of 37.5 million common shares of the company at a price of eight cents per share, for gross proceeds of $3-million.
The company intends to use the proceeds from the private placement to advance its strategic assets in Newfoundland and Labrador, including the Black Raven antimony-gold project (which hosts the past-producing Frost Cove antimony mine), and for general corporate purposes.
In connection with the private placement, the company paid eligible finders: (i) a cash fee of $210,000, which was equal to 7 per cent of the gross proceeds raised by the company from the sale of shares to subscribers directly introduced to the company by such finders. In addition, the company issued 2,625,000 non-transferable finders' warrants to eligible finders equal to 7 per cent of the number of shares sold in the private placement to subscribers directly introduced to the company by such eligible finders. Each finder's warrant entitles the holder to acquire one share at a price of eight cents for a period of 24 months following the completion of the private placement.
The securities issued pursuant to the private placement are subject to a statutory hold period of four months and one day from the date of issuance. The private placement remains subject to the final approval of the TSX Venture Exchange.
The company also announces that its board of directors has approved the grant of an aggregate of 8.2 million stock options to certain directors, officers and consultants of the company. The options are exercisable at a price of 14 cents and have a five-year term.
