CANTER RESOURCES ANNOUNCES FULLY SUBSCRIBED $1,050,000 NON-BROKERED PRIVATE PLACEMENT

Canter Resources Corp. has arranged a non-brokered private placement of up to 5.25 million units of the company at a price of 20 cents per unit for aggregate gross proceeds of up to $1.05-million. Each unit will consist of one common share and one-half of one transferable common share purchase warrant, with each whole warrant exercisable to purchase one additional share at a price of 26 cents for two years from the date of issuance.

The private placement has been arranged with strategic investors that have agreed to enter into 12-month lockup agreements.

The company may pay finders' fees to eligible finders, in accordance with applicable securities laws and the policies of the Canadian Securities Exchange (CSE). The private placement is subject to approval of the CSE, and all securities issued under the private placement will be subject to statutory hold periods pursuant to securities laws in Canada.

The company intends to use the net proceeds from the private placement to continue advancing its Columbus lithium-boron project and its Railroad Valley lithium-boron project, to evaluate and pursue additional projects, and for general working capital purposes.
