COPPERCORP UPSIZES PREVIOUSLY ANNOUNCED PRIVATE PLACEMENT

As a result of demand, Coppercorp Resources Inc. has increased the size of its previously announced non-brokered private placement of units. Coppercorp will now raise aggregate gross proceeds of up to $2.5-million per the terms described in the company's June 19, 2025, press release.

Coppercorp intends to use the net proceeds of the private placement for exploration drilling and development of the company's Hydes and Jukes properties, located in western Tasmania, Australia, and for general working capital and administrative purposes.

Crescat Capital LLC and the company have entered into both a participation rights agreement and a strategic shareholder agreement. Crescat will be subscribing for $500,000 of the private placement through Crescat Portfolio Management LLC on behalf of its pooled investment funds.

The private placement is subject to certain closing conditions including, but not limited to, the receipt of all necessary approvals including the approval of the TSX Venture Exchange.

Coppercorp may pay finders' fees under the private placement in accordance with applicable securities laws and the policies of the TSX Venture Exchange. The securities issued under the private placement will be subject to a hold period under applicable securities laws in Canada expiring four months and one day from the closing date of the private placement.

Members of the company's management team may participate in the private placement including subscriptions from related parties of the company as defined in Multilateral Instrument 61-101 -- Protection of Minority Security Holders in Special Transactions (MI 61-101). The participation of management in the private placement is exempt from formal valuation and minority shareholder approval requirements pursuant to exemptions contained in sections 5.5(c) and 5.7(1)(a) of MI 61-101.
