Warrant exercise price:  12 cents for a two-year period

Number of placees:  63 placees

Aggregate existing insider involvement:  two insiders, 499,999 shares

Aggregate pro group involvement:  five groups, 1,383,571 shares

Finder's fee:  $51,112.25, 730,174 warrants

Finder's warrants terms:  Each warrant entitles the holder to purchase one common share at the price of 12 cents for a period of two years from the date of issuance.
