The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced May 9, 2023.

Convertible debenture:  $1.65-million

Conversion price:  convertible into up to 11 million common shares at 15 cents per share of principal outstanding until maturity

Maturity date:  March 31, 2026

Interest rate:  8.0 per cent per annum, payable semi-annually

Number of placees:  one placee

The company issued a news release on May 24, 2023, confirming the closing of the private placement.
