The Shares were acquired at a purchase price of $0.02 per share under the Rights Offering, for an aggregate purchase price of $230,284.64. Mr. Chim is the President and Chief Executive Officer of Century Global, also serving as Chairman of the Board of Directors of Century Global. The Shares were acquired by Mr. Chim both personally and through Thriving Century Limited ("Thriving Century"), a private company controlled by Mr. Chim. Immediately prior to the Acquisition, Mr. Chim owned directly and indirectly a total of 18,025,317 Shares, corresponding to approximately 18.3% of the issued and outstanding Shares. Of such Shares, 2,761,400 Shares were held directly by Mr. Chim and 15,263,917 Shares were held through Thriving Century. Immediately after the Acquisition, Mr. Chim owns directly and indirectly a total of 29,539,549 Shares, corresponding to approximately 24.99% of the issued and outstanding Shares. Of such Shares, 4,525,330 Shares are held directly by Mr. Chim and 25,014,219 Shares are held through Thriving Century. Mr. Chim acquired the 11,514,232 Shares for investment purposes. Subject to compliance with applicable securities laws, Mr. Chim reserves the right to directly or indirectly purchase additional securities of Century Global or dispose of securities of Century Global.
