SANDY CHIM - EARLY WARNING REPORT FOR CENTURY GLOBAL COMMODITIES CORPORATION

Sandy Chim's ownership and control or direction of the ordinary shares of Century Global Commodities Corp. has increased from 18.3 per cent to 24.99 per cent as a result of his acquisition of direct or indirect control of an additional 11,514,232 shares of Century Global upon the closing of a rights offering completed by Century Global, effective July 14, 2023. The shares were acquired at a purchase price of two cents per share under the rights offering, for an aggregate purchase price of $230,284.64. Mr. Chim is the president and chief executive officer of Century Global, also serving as chairman of the board of directors of Century Global. The shares were acquired by Mr. Chim both personally and through Thriving Century Ltd., a private company controlled by Mr. Chim.

Immediately prior to the acquisition, Mr. Chim owned, directly and indirectly, a total of 18,025,317 shares, corresponding to approximately 18.3 per cent of the issued and outstanding shares. Of such shares, 2,761,400 shares were held directly by Mr. Chim, and 15,263,917 shares were held through Thriving Century.

Immediately after the acquisition, Mr. Chim owns, directly and indirectly, a total of 29,539,549 shares, corresponding to approximately 24.99 per cent of the issued and outstanding shares. Of such shares, 4,525,330 shares are held directly by Mr. Chim, and 25,014,219 shares are held through Thriving Century.

Mr. Chim acquired the 11,514,232 shares for investment purposes. Subject to compliance with applicable securities laws, Mr. Chim reserves the right to directly or indirectly purchase additional securities of Century Global or dispose of securities of Century Global.
