The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Dec. 7, 2023.

Number of shares:  1,116,666 flow-through shares (postconsolidation)

Purchase price:   60 cents per flow-through share (postconsolidation)

Number of placees:  six placees

Aggregate existing insider involvement:  four insiders, 1,016,666 shares

Finder's fee:  nil

The company issued a news release on Jan. 3, 2024, confirming closing of the private placement. The private placement closed prior to the company's consolidation of one new share for 15 old shares, which was accepted for filing by the exchange effective Jan. 29, 2024. The preconsolidation terms of the private placement were 16.75 million preconsolidation flow-through shares at a purchase price of four cents per preconsolidation flow-through share.
