The TSX Venture Exchange has accepted for filing the North Shore Uranium Ltd. (formerly Clover Leaf Capital Corp.) filing statement dated Sept. 21, 2023, that outlines the qualifying transaction (QT) between the company and North Shore Energy Metals Ltd. (the target).

The QT consists of an arm's-length acquisition of all of the issued and outstanding shares of the target pursuant to the share exchange agreement dated Dec. 19, 2022, as amended on March 31, 2023, June 29, 2023, and Aug. 18, 2023, between the company and the target for 16,725,100 common shares of the company at a deemed price of 30 cents per share for aggregate consideration of $5,017,530.

In conjunction with the transaction, the target completed a non-brokered private placement of 7,530,660 non-flow-through (NFT) subscription receipts at a price of 30 cents per NFT subscription receipt and 200,000 flow-through (FT) subscription receipts at a price of 35 cents per FT subscription receipt for aggregate gross proceeds of $2,329,268.80. Each subscription receipt was automatically converted into one North Shore share upon satisfaction of the escrow release conditions.
