Convertible debenture:  $6,132,271 (U.S.) or equivalent of $8,231,348 (of which $1,032,271 (U.S.) or $1,385,618 equivalent was from an existing convertible note)

Conversion price:  convertible into a maximum of 31,659,031 common shares at 26 cents per share of principal outstanding, at any time prior to maturity

Maturity date:  Sept. 21, 2028

Interest rate:  8.0 per cent per annum payable at the maturity date

Number of placees:   two placees

The company issued a news release on Sept. 22, 2023, confirming closing of both private placements.
