The Toronto Stock Exchange reports that Clarke Inc.'s Series B convertible unsecured subordinated debentures will be halted at the open and delisted at the close on July 28, 2023. According to the TSX, the company will redeem the debentures on July 28, 2023, for $1,013.41 per $1,000 principal amount, representing $1,000 principal amount and $13.41 for accrued and unpaid interest thereon to, but excluding, the redemption date.

The TSX reports that the holders of the debentures have the option to convert the debentures into common shares of the company, at any time before 5 p.m. Toronto time on July 27, 2023, at $13.74 per share. This conversion price represents a conversion rate of approximately 72.78 shares per $1,000 principal amount of debentures. According to the TSX, trades in the debentures on July 26, 2023, and July 27, 2023, will settle on July 27, 2023.
