The TSX Venture Exchange has accepted for filing an amalgamation agreement dated April 28, 2026, between the company's wholly owned subsidiary, 1001584629 Ontario Corp., and Newton Gold Corp., which owns the Newton gold property. The property comprises two patented mining claims located in Ontario, Canada. By way of consideration, the company will issue 12.5 million common shares at a deemed price of 43 cents per share, subject to resale restrictions. The property is subject to a 2-per-cent NSR (net smelter return) royalty, of which 1 per cent can be repurchased for $1.5-million, as well as a second 1.5-per-cent NSR royalty which can be repurchased in its entirety for $500,000.

No finder's fee was payable as part of the transaction.
