The Toronto Stock Exchange reports that Centamin PLC will be halted at the open on Nov. 21, 2024, and will remain halted until the close on Nov. 25, 2024, at which time the company will be delisted. According to the TSX, Centamin shareholders approved the acquisition of Centamin by AngloGold Ashanti PLC,
pursuant to a scheme of arrangement under Jersey
Companies Law, at a special meeting held on Oct. 28, 2024. If the scheme is implemented, on Nov. 25, 2024, Centamin
shareholders of record on Nov. 21, 2024, will receive 0.06983 of
an ordinary share of AngloGold and
12.5 U.S. cents in cash for each Centamin share held.
The TSX notes that no fractional AngloGold shares will be issued. Centamin
shareholders who would otherwise be entitled to a fractional
AngloGold share will receive a cash payment from AngloGold
rounded to the nearest U.S. cent, based on the amount obtained by
multiplying such fraction by the average closing price of AngloGold
shares on the New York Stock Exchange on each of the five consecutive trading days
ending on the trading day that is two trading days prior to the
effective date of the scheme, except that individual entitlements of
less than $5 (U.S.) will not be paid.
