CENTAMIN PLC - SCHEME OF ARRANGEMENT BECOMES EFFECTIVE

Following the delivery of a copy of the court order to the Registrar of Companies today for registration, the scheme of arrangement between Centamin PLC and the scheme shareholders under Article 125 of the Jersey Companies Law to implement the recommended cash and share acquisition of the entire issued and to be issued share capital of Centamin by AngloGold Ashanti has now become effective and, pursuant to the scheme, the entire issued and to be issued share capital of Centamin is now owned by AngloGold Ashanti.

Full details of the transaction are set out in the scheme document published on Sept. 30, 2024. All references to times are to London, United Kingdom, times unless otherwise stated.

Cancellation of listing and trading

Applications have been made for the suspension of trading of the Centamin shares on the London Stock Exchange's Main Market for listed securities to take effect by 7:30 a.m. on Nov. 22, 2024, and for the cancellation of the listing of the Centamin shares on the official list to take effect by 8 a.m. on Nov. 25, 2024. Centamin has received conditional approval from the Toronto Stock Exchange for the delisting of the Centamin shares from the Toronto Stock Exchange, to take effect at 4:30 p.m. Toronto time on Nov. 25, 2024.

Settlement of consideration

A scheme shareholder on the register of members of Centamin at the scheme record time, being 10 p.m. London time on Nov. 21, 2024, will be entitled to receive 12.5 U.S. cents in cash and 0.06983 new AngloGold Ashanti share for each Centamin share held. Settlement of the consideration to which any scheme shareholder is entitled will be effected as set out in the scheme document.
