The TSX Venture Exchange has accepted for filing documentation with respect to a brokered private placement announced on Dec. 4, 2023, and Dec. 13, 2023.

Number of common shares:  63 million common shares

Purchase price:  10 cents per common share

Number of placees:  23 placees

Aggregate existing insider involvement:  three insiders, 17 million shares

Broker's fee:  Research Capital Corp. -- $313,480 in cash and 2.52 million broker warrants

Broker warrants terms:  Each non-transferable broker warrant entitles the holder to acquire one common share at an exercise price equal to 10 cents for a period of 24 months after the closing date.

The company issued news releases on Dec. 21, 2023, Jan. 9, 2024, and Jan. 16, 2024, confirming closing of the private placement.
