The TSX Venture Exchange has accepted for filing documentation with respect to a non-brokered private placement announced on Oct. 4, 2023.

Conversion price:   convertible into common shares, at 32 cents per share of principal outstanding at any time prior to the maturity date, consisting of 16.9 million common shares (based on an exchange rate of $1 (U.S.) to $1.3520)

Maturity date:  Dec. 31, 2023

Interest rate 12 per cent per annum, interest to be prorated for the partial year

Number of placees:  one placee

Aggregate existing insider involvement:  one insider, 16.9 million shares

Pursuant to corporate finance Policy 4.1, Section 1.11(d), the company issued a news release on Oct. 5, 2023, announcing the closing of the private placement.
