Purchase price:  30 cents per FT share and 26 cents per NFT share

Warrants:  5,108,063 share purchase warrants to purchase 5,108,063 shares

Warrant exercise price:  39 cents for a two-year period

Number of placees:  14 placees

Aggregate existing insider involvement:   one insider, 76,923 NFT shares

Finder's fee:  $65,100, 430,766 NFT shares, 863,419 warrants

Finder's warrants terms:  Each non-transferable warrant entitles the holder to purchase one common share at the price of 39 cents for period of two years from the date of issuance.

The company issued news releases on Dec. 7, 2023, Dec. 18, 2023, Dec. 29, 2023, and Jan. 16, 2024, confirming closing of the private placement.
