The TSX Venture Exchange has accepted for filing First and Goal Capital Corp.'s qualifying transaction (QT) described in its filing statement dated March 26, 2026. As a result, at the opening on Monday, April 13, 2026, the company will no longer be considered a capital pool company. The qualifying transaction includes the following:

Pursuant to the business combination agreement dated Sept. 30, 2025, between the company and Copper Bullet Mines Inc. (CBMI), CBMI and a wholly owned subsidiary of the company amalgamated to form a new amalgamated company, and upon such amalgamation, holders of common shares of CBMI received an aggregate of 79,642,570 postconsolidation common shares of the company. In addition, an aggregate of 2,440,404 postconsolidation common shares were issued as finders' fees to certain arm's-length finders.
