CARRIER CONNECT DATA SOLUTIONS INC. TO ACQUIRE AUSTRALIAN DATA CENTER

Carrier Connect Data Solutions Inc., further to its news release dated April 1, 2025, has entered into a share purchase agreement dated July 10, 2025, with Nexion Group Ltd. and Nexion W1 DC Pty. Ltd., to acquire all of the outstanding share capital of the target. The target operates a two-megawatt Tier II/Tier III data centre in Perth, Australia, servicing the Asia-Pacific region, and is a wholly owned subsidiary of the vendor.

In consideration for all of the outstanding share capital of the target, the company will pay the vendor $2.5-million (Australian), including $200,000 (Australian) upfront, $100,000 (Australian) in six months and $2.2-million (Australian) amortized into monthly payments for a 25-year term at an interest of 9 per cent, as a secured vendor takeback note.

Closing of the acquisition remains subject to a number of conditions, including approval of the TSX Venture Exchange, and such other conditions as are customary in transactions of this nature.
