CANADA CARBON ANNOUNCES CLOSING OF SECOND TRANCHE OF PRIVATE PLACEMENT

Further to its press release dated Dec. 11, 2023, Canada Carbon Inc. has closed a second and final tranche of a non-brokered private placement of 3,333,333 units at a price of three cents per unit for aggregate gross proceeds of $100,000. Each unit comprised one common share in the capital of the company and one common share purchase warrant. Each whole warrant shall entitle the holder thereof to acquire one common share in the capital of the company at a price of five cents per share for a period of 24 months from the date of issuance.

All securities issued pursuant to the offering are subject to a hold period of four months plus a day from the date of issuance and the resale rules of applicable securities legislation. The proceeds of the offering will be used by the company for corporate and general working capital.
