Vancouver, British Columbia. Caprice Business Development Canada Inc. (TSXV: CAPB.P) (the
"Company") is pleased to announce that on April 3, 2020, the Company held its annual and special
shareholders' meeting, at which shareholders unanimously approved, along with the usual matters, the
special resolutions approving the Company's acquisition of Leaf Digital Studios.

The Company will continue to work toward satisfaction of all remaining conditions precedent to closing,
including receipt of TSX Venture Exchange approval.

Detailed information concerning the resolutions passed and the Company's proposed acquisition of Leaf
Digital Studios are more particularly described in the Company's information circular (filed March 3,
2020 on SEDAR).
