BAYMOUNT ANNOUNCES PRIVATE PLACEMENT

Baymount Inc. intends to complete a non-brokered private placement financing for aggregate gross proceeds of up to $100,000 through the issuance of units at a price of one cent per unit.

Each unit shall comprise one common share in the capital of the company and one common share purchase warrant. Each warrant will entitle the holder thereof to purchase one common share at a price of five cents for a period of one year from the closing date of the offering. One hundred per cent of the gross proceeds from the sale of the offering will be used for working capital and general corporate purposes. The company will not make any proposed payments to non-arm's-length parties of the company and will not make any payment to persons conducting investor relations activities with the proceeds from the offering.

Closing of the offering is subject to receipt of all necessary corporate and regulatory approvals, including the approval of the TSX Venture Exchange. All securities issued in connection with offering will be subject to a statutory hold period of four months and one day from the closing date in accordance with applicable securities legislation.
