BTQ TECHNOLOGIES ANNOUNCES 2026 AGM RESULTS

BTQ Technologies Corp. has provided the voting results from the 2026 annual meeting of shareholders. The nominees listed in the management proxy circular dated June 29, 2026, for the 2026 annual meeting of shareholders of the company were elected as directors of the company.

Detailed results of the vote for the election of directors held at the meeting on Aug. 12, 2026, in Vancouver, B.C., are set out in this news release.

Fixing number of directors at five

The number of directors of the company was fixed at five. The results of the votes cast are set out in an attached table.

Election of directors

The shareholders approved the election of the persons listed in an attached table as directors, based on the votes detailed in the table.

Appointment of auditor

MNP LLP was appointed as the auditor of the company for the ensuing year and the board of directors of the company was authorized to fix the remuneration of the auditor. The results of the votes cast are set out in an attached table.

Reapproval of the omnibus plan

The omnibus equity incentive plan of the company was reapproved. The results of the vote cast are set out in an attached table.

No other business was voted upon at the meeting.

A total of 70,852,597 common shares were voted in connection with the meeting, representing approximately 49.97 per cent of the issued and outstanding common shares of the company.
